Medtech CDMO Integer discloses executive pay after new CEO steps in

Integer Holdings Corp. has disclosed the pay package for its new CEO in a recent filing with the U.S. Securities and Exchange Commission.

The medical device contract manufacturer also disclosed pay packages for other executives, and reported a big pay increase for its median worker.

Integer is the world’s 56th-largest medical device company, according to our latest Medtech Big 100 ranking by revenue. That ranked Integer based on its 2024 revenue, but Integer has since acquired Precision Coating and VSI Parylene. Integer reported $1.8 billion in revenue for 2025, up 8% from the year before.

Recruiting and retaining top talent — both at the executive and engineering level — is crucial in the medtech industry, but employee compensation is kept secret in most cases. Medical Design & Outsourcing tracks and analyzes these pay figures when disclosed by major device developers and manufacturers.

Pay for top Integer executives

Integer President and CEO Payman Khales was promoted from chief operating officer in October 2025. He succeeded Joseph Dziedzic, who retired after eight years as president and CEO. Dziedzic stepped down from the board after his retirement in October 2025 but served as a special adviser until March 2026.

Khales received $3.2 million in total compensation for 2025, up 68% from the year before.

His compensation package included a $637,019 salary, $2.1 million in stock awards, a $363,631 cash performance bonus and $61,332 in other compensation, which included legal expense reimbursement in connection with his employment agreement.

Former Integer President and CEO Joseph Dziedzic received $8.7 million in total compensation for 2025, down about $4,000 from the previous year.

Dziedzic’s pay package included a $1.2 million salary, $6 million in stock awards, a $1.3 million bonus and $112,615 in other compensation which included legal expense reimbursement in connection with retirement agreement.

He continued to receive a base salary equal to his annual CEO base salary while serving as a special advisor.

Integer EVP and CFO Diron Smith received $2.6 million in 2025, up 4% from the year before. Smith’s compensation included a $499,135 salary, $1.7 million in stock awards, a $321,007 bonus and $23,964 in other compensation.

Integer Cardio & Vascular President Andrew Senn received total compensation of $1.7 million in 2025. Senn served as Integer Cardio & Vascular SVP of strategy, business development and investor relations prior to his promotion to president in March 2025.

Senn’s pay package included a $434,135 salary, $799,959 in stock awards, a $195,190 cash performance bonus, $28,640 in other compensation and a $250,000 cash bonus for his work in completing the company’s acquisition of Precision Coating.

Integer Cardiac Rhythm Management & Neuromodulation President Jim Stephens received $1.7 million in 2025, up 5% from the year before.

Stephens’ pay package included a $504,423 salary, $949,874 in stock awards, a $227,853 cash performance bonus and $10,500 in other compensation.

Integer SVP, General Counsel and Corporate Secretary Lindsay Blackwood joined the company in March 2025 and received $1.6 million in total compensation for 2025.

Blackwood’s compensation included a $365,385 salary, $1 million in stock awards, a $203,656 bonus and a $50,000 cash sign-on bonus.

All executives except Blackwood received $10,500 in 401(k) matching contributions in 2025.

“Our compensation philosophy is to provide a competitive compensation package that will attract, retain and motivate our executives to drive the company’s success through high performance and innovation, to link our executives’ compensation to short- and long-term performance of the company and to align our executives’ compensation with the interests of our stockholders,” the company said in the filing.

Integer’s medium worker pay and CEO pay ratio

The U.S. Securities and Exchange Commission requires publicly traded companies like Integer to calculate the gap between CEO compensation and pay for its median employee.

Integer used Khales’ pay package for 2025, but calculated that his full-year compensation would have been $3.8 million if he had been in the role the entire year.

Integer reported median employee compensation of $44,550, up 22% from $36,380 the year before.

The latest median employee pay figure puts Integer’s CEO pay at 86 times more than its medium employee’s pay in 2025. That gap narrowed from 238 the year before.

Integer said it included all global employees as of the end of 2025, but did not identify the median employee by location or job title. Employees from Precision Coating and VSi Parylene were excluded.

At other medtech companies that offer more details about their median workers than required by the SEC pay disclosure rules, those median medtech workers often hold technical roles such as device design or engineering.

Integer investors will cast advisory “say-on-pay” votes on the company’s executive compensation practices at the May 20, 2026 annual meeting. Shareholders overwhelmingly voted in support of the company’s executive pay the year before.
